INDUSTRIAL and LOCAL AUTHORITIES ZONE (indoor stands only) For the Bois Energie 2011 Exhibition, an "Industrial and Local Authorities Zone" will be created again in order to gather exhibitors who are specifically targeting industry and/or local authorities, and for whom a Sunday General Public audience contains seldom any prospects. Description of the Industrial and Local Authorities Zone : - located in a specific hall (new in 2011), near the visitors entrance (Hall C). - specific duration of exhibition : from Thursday to Saturday * - opening hours : Thursday-Friday : 09:00-18:00 Saturday : 09:00-15:00 (new in 2011) - limited number of stands - possibility to start dismantling of stands by the exhibitors on Saturday from 15 :00 If your activity is specifically linked with industrial applications and/or local authorities and if you are interested by this option, you just have to subscribe on page 4 of this application form, by ticking the appropriate box. The approval of your demand will remain subject to stand availability. Important Exclusively, the exhibitors of the Industrial and Local Authorities Zone will be authorised to exhibit on a shorter period. All other exhibitors will have to stay for the whole duration of the exhibition and to be present on their stand until 18:00 on Sunday. * stand prices of the Industrial and Local Authorities Zone are the same as those of the other Halls, considering that there won’t be any transferable cost reductions for stands used during a shorter period. Page 6IMPORTANT READ CAREFULLY Article 1 : Contract 1.1 This contract exists exclusively between the two parties : on the one hand, “the Exhibitor”, which means the applying organisation as defined in the application form hereto (and also where relevant, the Exhibitor’s personnel and any associated or 3rd party organisation or their personnel appointed by the Exhibitor), and on the other hand Bioénergie Evénements et Services SAS, 28 boulevard Gambetta, 39000 Lons le Saunier, France, capital 60 000 €, RCS Lons le Saunier, Siret 481 865 137 00014, (hereinafter “the Organiser”)and which is the official organiser and legal owner of the Bois Energie Exhibition and Conferences (hereinafter the “Exhibition”) Article 2 : Assessment of the applying Exhibitor’s Order 2.1 The applying Exhibitor is to complete the application form in accordance with the guidelines and indications provided by the Organiser. The application form is to be signed by an authorised signatory of the applying Exhibitor. This then constitutes the applying Exhibitor’s order. The Organiser will provide either a written or electronic confirmation of the Exhibitor’s order, assuming its acceptance by the Organiser who reserves the right to assess and either grant or refuse the right to exhibit. The Organiser may ask for further information not otherwise requested in this application form from the Exhibitor. A refusal to exhibit issued by the Organiser is non-contestable and the Organiser will not enter into any dialogue or negotiation. There is no right to appeal and the reimbursement of any payments made will be less deductions by the Organiser for administration costs. 2.2 For confirmed reservations, the Exhibitor agrees and commits to keep the Organiser fully informed of any change to its circumstances that might affect their eligibility to attend the Exhibition. Where the Organiser is duly notified by the Exhibitor of such changes or equally where the Organiser learns otherwise of such changes, the Organiser reserves the right to cancel according to the terms of the cancellation Article below, an Exhibitor’s reservation without any right to reimbursement of any payments made nor to any other form of compensation. 2.3 The Exhibitor’s order binds the Exhibitor to these terms and conditions as well as all other provisions explicitly stated or referred to within this application form. The Exhibitor furthermore agrees to abide by all the applicable governing regulations of the Exhibition site (Micropolis, Besançon, France) provided in the Exhibitor Manual, all the applicable health and safety regulations as well as all applicable public and civil points of law. In the event that either changes to the existing terms and conditions herein or the addition of new terms and conditions are deemed necessary by the Organiser at the Organiser’s discretion, then the Exhibitor agrees to be bound by any such amendments or additions, including those made verbally. 2.4 The Exhibitor must communicate any amendments or additions of any kind to the application form to the Organiser in writing (fax, email, letter). Acceptance of all such amendment or addition requests by the Exhibitor must be confirmed by the Organiser in writing (fax, email, letter). 2.5 The Organiser reserves the right to amend and/or reposition any stand if deemed necessary by the Organiser. Article 3 : Shared Stands 3.1 All Exhibitors who intend to : - share exhibition space with other companies (co-exhibitors) be they independent from, partially or wholly owned by the Exhibitor, or - to represent other companies or their brands must declare the number and names of all the co-exhibitors, company names and/or brands in the applicable document. The Organiser reserves the right to refuse any such co-exhibitors, company names and/or brand names the right to exhibit. 3.2 Only one company (be it either an exhibitor or co-exhibitor) or brand can be represented per 3m² of stand space booked. There is an obligatory registration charge per co-exhibitor or brand as indicated in the application form. This charge forms an integral part of the order of the reserving Exhibitor. Article 4 : Equipment/Services to be exhibited 4.1 To safeguard the specialised nature of the Exhibition, admission to it is restricted to products, applications and services related to the sustainable exploitation of wood from forestry, agro- forestry and agricultural resources for energy purposes. In accordance with the specialized subject matter of the Exhibition, the companies which produce or distribute plant, components and equipment or suppliers of services which are also related to fossil fuel based energy sources will be held to exclude this part of their business from their exhibition stand. An exception to this rule is allowed in that the distribution of previously prepared brochures, catalogues and other informative material pertaining to energy from fossil fuel and biomass sources is allowed. 4.2 In accordance with health and safety regulations, all equipment, engines, machinery, combustion equipment or burners of any kind etc. that the Exhibitor intends to operate during the Exhibition must be declared separately and without exception to the Organiser via the applicable documents and within the specified timeframe. The Organiser will issue an approval (and also applicable terms and conditions of usage) or non-approval for usage of any such equipment. 4.3 The Organiser reserves the right to refuse or reject at any point any exhibitors goods, equipment or services to be exhibited through whatever medium or manner of presentation, that have not been approved or are deemed unsuitable by the Organiser without right to compensation for damage or losses of any kind and without recourse to appeal. The Organiser equally reserves the right to disconnect the Exhibitor’s power supply where any goods, equipment or services that are being exhibited that have not been approved or are deemed unsuitable by the Organiser without right to compensation for damage or losses of any kind and without recourse to appeal. 4.4 All Exhibitors who intend to exhibit any wood heating equipment on an outdoor stand agree and commit to respect for these products the following limits of exhibition surfaces: - equipment presented in the open air or under a marquee: surface limited to 50m² (if some equipments are presented in operation, the Exhibitor will first have to comply with the demands of the health and safety officer for the Exhibition). - equipment presented in a trailer or an expo-truck: same surface limitation, with an exceptional tolerance up to 75m² if it is due to the size of the vehicle. 4.5 The Exhibitor agrees neither to engage in promotional activities through any medium or presentation manner whatsoever for any goods, equipment or services nor to engage in any kind of general canvassing of any sort whilst not within the confines of the Exhibitor’s own booked stand space, unless otherwise authorised expressly by the Organiser. The Exhibitor may only use any sound amplifying equipment with the express written permission of the Organiser and then only within the terms and conditions of such permission. Failure to observe these conditions may result in the immediate disconnection of the Exhibitor’s power supply and/or to removal of any such offending equipments or other promotional media without right to compensation for damage or losses of any kind and without recourse to appeal. Article 5 : Exhibition Dates and Site 5.1 The dates of the Exhibition are the 24-27 March 2011 (exclusive of set-up and disassembly/removal periods). The Exhibition will be staged in various halls as well as on the outdoor area of Micropolis, Besançon, France. 5.2 Exhibition opening hours are 09:00 – 18:00 for the whole period of the Exhibition. Exhibitors and collaborators may enter the Exhibition site starting from 08:30 and must leave the premises before 19:00. 5.3 The Organiser reserves the right to amend for whatever reason the dates of the Exhibition, its duration, opening hours and its timing during the calendar year without obligation of compensation to the Exhibitor. In the event that the Exhibition site (Micropolis, Besançon, France) shall be destroyed or damaged, or if the Exhibition fails to take place as scheduled or is interrupted and/or discontinued or access to the premises is prevented or interfered with by reason of any strike, lockout, injunction, act of war, Act of God, emergency declared by any government agency or by the persons in charge of Micropolis or for any other reason, this contract may be terminated by the Organiser. In the event of such termination, the Exhibitor waives any and all damages and claims and agrees that the sole liability of the Organiser shall be to return to each exhibitor the stand payment less his pro rata share of all costs and expenses incurred and committed by the Organiser. 5.4 The Organiser bears no responsibility for nor is obliged to offer any compensation for interruptions, restrictions or service level reductions of whatever duration to amenities and facilities provided by its suppliers and contractors or by the Exhibition site and its suppliers or contractors, for example but not limited to : power, heating, air conditioning, smoke extraction services, water and drainage, landline telephone and internet. Article 6 : Exhibition Promotion 6.1 The Exhibitor agrees and commits to observe the Organiser’s exclusive rights to promote and organise the Exhibition and to all identifying logos, materials, texts etc. At its own discretion and with express written authorisation, the Organiser may licence or permit partners or Exhibitors to utilise promotional materials etc. The Organiser reserves the right to appoint new partners and/or subcontractors at any point to assist in the commercialisation and/or organisation of the Exhibition. 6.2 The Organiser makes all reasonable efforts to ensure accuracy but accepts no liability for typing or photographic errors. Article 7 : Exhibitor Commitments 7.1 The Exhibitor (whether exhibiting indoor or outdoor) is required : - to provide no later than the 11th February 2011 a plan of the stand layout (only if the Exhibitor has ordered a storage cupboard, a smoke extraction, a marquee or wood for demonstrations) for approval by the Organiser, using the forms provided. - to furnish all information relating to equipment to be demonstrated or to be operated during the exhibition, using the forms provided. Failure to provide this information by the 04th February 2011 may result in a refusal by the Organiser to the Exhibitor to demonstrate or operate his equipment. 7.2 The Exhibitor agrees and commits to maintain in its entirety the approved ‘stand design and list of contents/items to be exhibited’ for the duration of the Exhibition in a clean and tidy condition as well as to maintain adequate competent staffing levels so as to respond appropriately to visitor interest during the Exhibition opening hours. The stand must always be free to the eye of all personnel artefacts in the care of the Exhibitor as well as packaging and covers of all kinds. All covers must be removed during Exhibition opening hours and the Organiser reserves the right to remove any that are left in place and is not liable for any resulting damage to the Exhibitor’s equipment or for any consequential losses of any kind. 7.3 The Exhibitor furthermore agrees and commits to abide by the terms and conditions, rules and regulations as specified in the Exhibitor Manual (concerning for example, but not limited to : right of access to the Exhibition site and halls, the distribution of alcohol, parking rights, photography films and soundtracks, supply and removal of biofuels, smoke extraction, etc.) and accepts that failure to do so may result in expulsion from and/or exclusion from the Exhibition premises. In such an event, the Exhibitor has no rights to compensation or damages of any kind. 7.4 The Exhibitor and other associated or appointed personnel must be appropriately dressed, polite and courteous at all times to visitors and other exhibitors alike as well as refrain from raising their voices above the general sound levels in order to attract specific attention. Exhibitors may wander freely through the Exhibition but must not linger in the aisles or on another exhibitor’s stand unless specifically invited to do so by the relevant exhibitor. Failure by the Exhibitor and other associated or appointed personnel to observe the conditions laid out herein or engaging in behaviour judged by the Organiser to be prejudicial to the smooth, efficient and normal running of the Exhibition or to be defamatory in any way may result in expulsion and/or exclusion from the Exhibition premises and/or a minimum immediate fine of €5,000. In such an event, the Exhibitor has no rights to compensation or damages of any kind. Similar conditions will be applied to visitors. 7.5 The Exhibitor agrees and commits not to engage directly or indirectly in any unfair competitive behavior of any kind on the Exhibition site at any time and accepts that failure to do so may result in expulsion from and/or exclusion from the Exhibition premises. In such an event, the Exhibitor has no rights to compensation or damages of any kind. 7.6 The Exhibitor agrees and commits not to bring any hazardous or dangerous materials of any kind onto the Exhibition premises. TERMS AND CONDITIONSPage 7 7.7 The Exhibitor agrees and commits to fully advise all associated or 3rd party personnel appointed by the Exhibitor of these terms and conditions and to have secured their agreement to them in writing before they arrive at the Exhibition site. The Organiser may require the Exhibitor at any time to provide proof of such agreement having been met. 7.8 Any exhibitor offering catering, food or drink samples agrees and commits to abide by applicable French health and safety regulations and to have made complete and full declarations to the relevant French authorities prior to the Exhibition and to have gained the required approvals. The Exhibitor may be subject to inspection by the relevant French authorities during the Exhibition. The Exhibitor must also apply in writing to the Organiser for a written approval from the Organiser to do so. The Exhibitor bears all responsibility without exception for any complaints or claims made in relation to catering or food samples. 7.9 The Exhibitor agrees and commits to abide by all applicable laws and regulations regarding the display of prices, pricing information and the sale of goods to consumers (to be taken away) and to professional clients during the course of the Exhibition and all exhibitors should keep records of all such sales made and by and to whom they were made which may be required for inspection purposes by relevant authorities. Pressure, auction and closed bid sales are prohibited and any exhibitor deemed to be in breach of this condition may be expelled from and/or excluded from the Exhibition premises. In such an event, the Exhibitor has no rights to compensation or damages of any kind or recourse to appeal. 7.10 All goods, equipment and services offered for sale to either consumers or professional clients should conform to all relevant French and/or European standards and norms but in the case that such conformance has not been obtained, then this is to be clearly displayed and communicated without obstruction to all visitors without exception. It is the Exhibitor’s sole and exclusive responsibility to ensure that such communication has been duly understood by any enquiring or interested visitor. The Exhibitor is directly and exclusively responsible for observing this condition and accepts full liability for consequences arising at any point during or after the Exhibition for failure to comply. 7.11 The Exhibitor agrees to remove from the Exhibition site all of what the Exhibitor brought to the Exhibition within the period specified in the Exhibitor Manual of the Exhibition closing, unless there is a specific agreement to the contrary with the Organiser. The Organiser reserves the right to charge the Exhibitor for the removal and disposal of any items (and bears no responsibility for damage thereto) or waste left by the Exhibitor after the Exhibition. 7.12 Indoor smoke extraction will be available in a designated area only and there will be a limited number of combustion units that can benefit from this service. Places will be awarded by the Organiser on a first come first serve basis. The Exhibitor agrees and commits not to operate any unit requiring combustion (of any sort of any material) that is not connected directly to the smoke extraction network by the appointed contractor and access rights for which have not been applied for and approved officially to the Organiser through the relevant application procedure. Failure to comply with this condition will result in immediate consequences as imposed by the health and safety officer for the Exhibition and/or by the Organiser and may include an immediate minimum fine of €5,000 and/or the unconditional closing of the Exhibitor’s stand and/or the Exhibitor’s exclusion from the Exhibition without any rights to compensation of any sort or recourse to appeal. In addition, legal charges may also be brought against the Exhibitor. Article 8 : Law and Disputes 8.1 In the case of dispute and specifically regarding the provisions and the terms & conditions stated herein and/or in any referenced documents, only the French texts shall refer (available from the website or from the Organiser directly upon request). Disputes arising between the Exhibitor and the Organiser that cannot be settled otherwise will be brought exclusively to the Court in Lyon, France where the applicable law is French law. Article 9 : Cancellation 9.1 In the event that the Exhibitor or the Organiser cancels the ‘reservation, the Organiser is unreservedly entitled to demand an immediate balance payment of the ‘grand total incl. VAT’ in the application form and may reallocate the reserved stand area for whatever purpose at the Organiser’s own discretion. In this instance, the Exhibitor’s reservation and right to attend the Exhibition as an exhibitor is forfeited without recourse to appeal and the first payment made by the Exhibitor is not refundable. 9.2 Unless by express written agreement between the Organiser and the exhibitor, a confirmed stand that is not occupied by the exhibitor at the opening of the Exhibition shall be deemed to be cancelled and the Organiser may reallocate the reserved stand area for whatever purpose at the Organiser’s own discretion. In such an event, the Exhibitor’s reservation and right to attend the Exhibition as an exhibitor is forfeited as are all rights to compensation or damages of any kind. Article 10 : Prices 10.1 The applicable prices shall be those that were the latest to be issued in the price list by the Organiser. The Organiser reserves the right to amend the published prices at any time. It is solely the Exhibitor’s responsibility to ensure that the Exhibitor is working from the valid prices (ie the latest issue). Article 11 : Payment Conditions 11.1 The Exhibitor’s application is ‘reserved’ upon receipt of funds for the first payment instalment according to the payment schedule below. The Exhibitor’s reservation is ‘confirmed’ upon receipt of all funds in relation to the payment schedule below however the delivery of additional services ordered later by the Exhibitor is dependent upon full receipt of the relevant fees in accordance with the applicable terms and conditions. 11.2 Any amendment to the order (accepted in accordance within these terms and conditions) may result in changes to the payment schedule and applicable percentages. The Organiser will notify the Exhibitor of such changes as and when they become known. 11.3 The applicable currency for all payments is the Euro. 11.4 The Exhibitor is the sole responsible towards the Organiser regarding outstanding payments. 11.5 Schedule of Payments – Payment Date Percentage of ‘Grand Total incl. VAT’ from the application form with reservation 40% 1st January 2011 60% 11.6 Means of Payment – - by cheque (to be made out to “BEES”) - by bank transfer. All bank charges are to the account of the exhibitor. The Organiser will not accept any bank charges. Bank details for transfer : 11.7 Non-Payment, late payment and cancellation of the reservation:- Failure to comply with any of the above terms and conditions with respect to means and or schedule of payment, unless otherwise agreed in writing by the Organiser (by fax, email or letter), permits the Organiser unreservedly to demand an immediate balance payment of the ‘grand total incl. VAT’ and to reallocate the reserved stand area for whatever purpose at the Organiser’s own discretion. In this instance, the exhibitor’s reservation and right to attend the Exhibition as an exhibitor is forfeited without recourse to appeal. 11.8 To obtain access to the stand allocated, on arrival at the Exhibition the Exhibitor must give proof of the full settlement of any charges due. Payments for additional services requested must be settled before the opening of the Exhibition. Check-out pass for goods on display and stand fittings will be issued only after full settlement of any pending debts with the Organiser. Article 12 : Recovering VAT 12.1 Non-French exhibitors qualify to reclaim VAT paid, according to given conditions. 12.2 EU member countries : - OPTION 1 : via the electronic portal in the member country of the claimant. - OPTION 2 : The independent French-based agency “Easy Tax” offers a commission fee based VAT recovery service. More information is available on the website http://www.easytax.fr 12.3 Non-EU countries : - OPTION 1 : a fiscal representative must be appointed to represent the applicant. - OPTION 2 : The independent French-based agency “Easy Tax” offers a commission fee based VAT recovery service. More information is available on the website http://www.easytax.fr 12.4 BEES accepts no responsibility for the services of any of the above organizations. Article 13 : Insurance 13.1 The Organiser will take necessary precautions to safeguard exhibitor's property. However, the Organiser cannot be held liable for damage or loss to the Exhibitor's property through theft, fire or loss through accident or any other cause. The Exhibitor agrees and commits to independently insure his own exhibit and display materials. 13.2 The Organiser cannot be held liable for any physical and/or material and/or immaterial injury and/or losses, including consequential injury and/or losses, that may occur to exhibition visitors, exhibitors or other persons during the Exhibition and also during set-up and disassembly/removal periods. The Exhibitor and his insurers forfeit all right to recourse against the Organiser and the other Exhibitors at the exception of malicious intent. All claims arising out of malicious intent are to be made exclusively against the perpetrating individual(s) involved. 13.3 The Exhibitor is required to provide a copy of a valid civil insurance certificate to the Organiser covering all damages for which the Exhibitor may be held responsible during the Exhibition and also during set-up and disassembly/removal periods. In the case of non-respect of this requirement, the Exhibitor accepts that he may be excluded from the Exhibition premises and forfeits all rights to compensation or damages of any kind.
